Charles B. Witham

Firm Member

Charles B. Witham is a shareholder in the firm’s Business Department. His practice emphasizes business and corporate representation, including mergers & acquisitions, health care law, real property and trademark matters.

Education

Mr. Witham received his B.S. in business administration, summa cum laude and Phi Beta Kappa, from Mary Washington College in 1994. He was awarded his law degree, cum laude and Order of the Coif, from the University of San Diego School of Law in 1998. Mr. Witham was Editor-in-Chief of the San Diego Law Review; and the 1998 recipient of the University of San Diego’s Bancroft-Whitney American Jurisprudence Award. Mr. Witham received his M.B.A. from the University of San Diego School of Business in 1999.

Employment Background

Prior to joining the Business Department, Mr. Witham was an associate in the firm’s Litigation Department, where he worked on employee harassment and discrimination litigation; and represented national insurance companies in disputes involving alleged fraud, breach of contract, deceptive sales practices and insurance “bad faith” litigation.

Representative Matters

  • General counseling of established and emerging growth companies regarding entity formation and governance, employment matters, mergers & acquisitions, reorganizations, and protection of trade secrets and other proprietary information
  • Formation of business organizations, including limited liability companies, partnerships, limited partnerships and corporations
  • Represents real estate interests of companies and individuals engaged in real property investment and development transactions
  • Represents companies engaged in the development and construction of multi-use (including office, retail and residential) real estate projects
  • Represents physicians, medical groups and acupuncturists in business and corporate matters, including the negotiation of employment agreements, stock-purchase and redemption agreements and exclusive services contracts
  • Represents physicians, medical groups and other health care professionals in a broad range of business, transactional and compliance matters, including mergers and acquisitions, physician self-referral (“Stark”), anti-kickback and HIPAA compliance issues
  • Represented the seller in the sale of a $345 million building products manufacturing company
  • Represented the seller in the sale of a $210 million packaging and plastics manufacturing company
  • Represented the seller in the sale of a wholesale mortgage lending company
  • Represented the seller in the sale of a leading regional property management company
  • Represented the purchaser in the acquisition of a leading regional distributor of janitorial supplies and chemical products
  • Represents sellers and purchasers of medical, dental and acupuncture practices
  • Represents sellers and purchasers of automobile dealerships and affiliated entities
  • Experienced in federal trademark matters, including the selection and registration of trademarks, maintaining registered trademarks and assignment of trademarks
