Jason P. Sweeney

Associate

Mr. Sweeney is a senior associate of the firm. He represents emerging and mid-size companies in a broad range of commercial and corporate matters, including mergers and acquisitions, joint ventures, private financings, secured lending, technology transactions, e-commerce and corporate governance matters.

Education Background

Mr. Sweeney earned his J.D. and M.B.A. degrees from the University of San Diego in 2002. He was a member of Law Review and received the Bancroft Whitney Award for international business transactions and the American Jurisprudence Award for legal research and writing.

Mergers & Acquisitions:

Structure and negotiate all aspects of acquisition and divestment transactions
Representative industries include: manufacturing (e.g., plastic containers, consumer electronics, chemicals, medical devices and janitorial products); ERP software; radio/telecom; e-payment systems; specialty food products; automobile dealerships; medical services; aviation (commercial and private jet owners); wholesale mortgage; restaurants; and buyers and sellers of commercial real property

Internet & E-Commerce:

Advise start-up and established companies on click-through agreements, online licenses, privacy policies, terms of use, on-line payment systems, electronic payment and website regulatory compliance
Representative clients include companies engaged in: appliance manufacturing; payroll services; payment systems; phone number anonymization; clothing distribution, and social networking

Secured Transactions:

On behalf of lenders and borrowers, negotiate and document secured lending transactions with an aggregate value of more than $500 million dollars
Negotiate and document numerous defeasance transactions for securitized commercial loans

Other:

Negotiate and document numerous contracts dealing with intellectual property licensing, trade secrets, product distribution, consulting services, executive employment, manufacturing, corporate governance and other commercial matters
